CCH ConstitutionThe CCH Constitution can be used when incorporating a company using the New Zealand Companies Office's online service, or it can be adopted as the constitution of an existing company. 2013 Changes to Constitution The CCH Constitution was updated to V2.3 (NACF-204 (V2.3)) in March 2013 to include changes to the Companies Act 1993 made by the Companies Amendment Act (No 2) 2012. The changes relate to proxy votes, shareholder participation in meetings by way of audio, audio and visual, or electronic means at the discretion of the board. The reference to multi-rate PIEs in the Income Tax Act 2007 was also updated. The changes are in the following clauses: 17.3, 17.5.(2), 17.6.(3), 17.7.(4), 17.16 (new), 18.2.(2)(b), 25.3 and 29.2.(2). These changes are highlighted in the sample constitution.
